Team Overview

You will support ADF's mission by assisting with corporate governance, global entity management, legal research, company filings, contract administration, policy updates, and corporate compliance matters. You will also contribute to ministry-wide strategic initiatives and special projects, ensuring the organization operates efficiently and in full compliance with applicable laws.

Key Responsibilities

General Support:
  • Support the Corporate Counsel team in managing corporate governance, compliance, recordkeeping, ensuring smooth operations across the organization.
  • Assist with corporate litigation, mediation, and arbitration matters, while tracking deadlines, managing team data, and generating reports to support decision-making.
  • Coordinate with vendors and handle state filings to keep corporate processes efficient and compliant.
Contract and License Management:
  • Draft, review, and track contracts, including vendor agreements, NDAs, and employment contracts, while managing contract databases and renewals.
  • Maintain and renew corporate licenses to ensure regulatory compliance.
Legal Research and Reporting:
  • Conduct research on nonprofit corporate law and regulations, providing actionable insights to support legal and strategic decisions.
  • Prepare and distribute reports to executive leadership and the board, keeping the organization informed of legislative and regulatory developments.
Document Preparation and Recordkeeping:
  • Prepare and file corporate documents with state and federal agencies, including charitable registrations and exemptions, while maintaining accurate corporate records and policies.
  • Support Finance and HR with audits and internal investigations, contributing to overall organizational integrity.
Compliance and Governance Support:
  • Assist in implementing and maintaining corporate compliance programs, manage global entity requirements, and collaborate with HR, Finance, and other stakeholders to ensure policies are current, compliant, and aligned with ADF's mission.
Minimum Qualifications
  • Associate degree in Paralegal Studies or a related field
  • 5+ years of corporate paralegal experience.
  • Proficiency with legal research tools and Microsoft Office (Word, Excel, Outlook).
  • Strong analytical, problem-solving, and time management skills, with the ability to meet deadlines.
  • Excellent verbal, written, and interpersonal communication skills; ability to maintain confidentiality and exercise sound judgment.
Preferred Qualifications
  • Paralegal certification.
  • Bachelor's degree in Paralegal Studies or a related field
  • Global corporate law experience
