A well-funded, late-stage SaaS company is seeking a highly organized and proactive Corporate Paralegal to support its legal and compliance team during a key period of internal transition. This interim role will provide critical support to the legal and compliance team by maintaining strong corporate governance practices, overseeing compliance workflows, and assisting with legal processes related to investor relations, equity events, and long-term growth planning. The ideal candidate will have prior in-house experience at a late-stage SaaS startup or public tech company, with a proven track record managing subsidiary governance, board processes, and equity-related legal operations in a fast-paced, high-growth environment. While the legal team is ideally seeking a part-time resource who can work onsite 1–2 days per week, they are open to full-time hours (35 hrs/week) and remote schedules for the right candidate with deep in-house governance experience.

Key Responsibilities:

• Draft and maintain board and committee resolutions, manage minute books, and support corporate secretarial workflows
• Maintain the company’s corporate structure and subsidiary records, including domestic and international entities
• Track and coordinate regulatory inquiries, litigation holds, and subpoena responses
• Assist in the preparation of investor/shareholder documentation and support legal tasks related to equity financing or IPO readiness
• Monitor and respond to the legal@ inbox, triaging internal requests and routing legal tasks appropriately
• Coordinate with internal teams (Finance, HR, Stock Admin, Tax) and outside counsel to ensure accuracy and compliance in legal operations
• Maintain audit-ready records of governance, compliance certifications, legal policies, and internal approvals

Qualifications:

• 5–10+ years of corporate paralegal experience supporting late-stage startups or public companies, ideally in the technology or SaaS industry
• Proven track record of owning corporate governance processes, including board and committee meetings, minute book maintenance, and entity recordkeeping
• Experience managing subsidiary compliance for both domestic and international entities
• Familiarity with equity events such as venture financings, investor/shareholder documentation, or IPO readiness
• Proficiency with legal operations tools such as Carta, Shareworks, Diligent Boards, SharePoint, iManage, or similar platforms
• Ability to liaise cross-functionally and independently manage legal tasks in a fast-paced, scaling environment
• Paralegal Certificate required; Bachelor's degree preferred
